Limited Liability Company Share Transfer (Single Shareholder)

Trade Registry Regulation Articles 102-103

(1) If the number of partners of a company established with multiple partners drops to one, the situation is notified in writing to the directors of the company within seven days from the date of the transaction that caused this result. The directors of the company are obliged to register within seven days from the date of receipt of the notification that the company is a limited liability company with a single partner, the name and surname or title of this sole partner, identity number, place of residence or headquarters and citizenship to the relevant directorate (TSY-102):

REQUIRED DOCUMENTS

1) Petition

2) Unless otherwise stipulated in the articles of association, notarized General Assembly Meeting Minutes approving the transfer of the basic capital share (Single Shareholder) (1 master)

3) The original signatures of the parties regarding the transfer of the basic capital share are the notarized transfer agreement (1 original) or the relevant document in case the share passes through inheritance, property regime between the spouses or execution.

6) List of Attendants (1 original)

8) If new partners enter the company as a result of the transfer, the new partners; photo (1 piece)

9) If a legal entity becomes a partner;

- A notarized copy of the participation and representative decision to be taken by the authorized body of the legal entity (1 original). Participation in the company to be partnered with and the person authorized to represent them in this company will be specified.

Notes:

a) In share transfers; The number of shares must be made as an integer.

b) If there is a new public entrance partner's name and surname, citizenship and citizens of the Republic of Turkey T. C. Identification number, if foreign national, tax number must be specified.

c) Foreign partner's;

- If available, a notarized copy of the Residence Permit (1 original) or a declaration indicating the address if the address is abroad.

- Notarized translated copy of passport (1 original - 1 photocopy)

-Potential tax display document must be attached.
