Trade Registry Regulation Article 122

1) Centers for documentation should be given in the registration of branches of commercial enterprises located outside Turkey in Turkey are listed below:

a) The letter obtained from the competent authority and a copy of the Turkish translation showing that the conditions of the country of origin where the commercial enterprise is headquartered in the registration are fulfilled and the documents required to be submitted for the registration of the branch (This letter must be submitted by the notaries in the country where the company is subject to and in that country. It must be certified at the Turkish Consulate or in accordance with the provisions of the Convention on the Abolition of the Obligation of Approval of Foreign Official Documents and submitted to the Directorate with a notarized Turkish translation.) b) All documents required to be submitted for the registration of the branch in the country of origin (1 original - 1 photocopy)

c) The document containing the current registry records of the head office and a certified copy of the company agreement in the companies and its translation into Turkish by one copy (This document must be certified by the notaries in the country where the company is subject to and at the Turkish Consulate in that country or in accordance with the provisions of the Agreement on Abolition of the Obligation of Foreign Official Documents and the notary public. It must be submitted to the Directorate with its approved Turkish translation.) (1 original - 1 photocopy)

d) The Center's original decision on the appointment to open branches and branches resident plenipotentiary representative in Turkey of the competent authority and a copy Turkish translation (of this decision, the company's by notaries in the country where the subject and the Turkish Consulate in that country or Foreign Official Abolition of Documents Attestation Requirement in accordance with the contract provisions it must be certified and submitted to the Directorate with a notarized Turkish translation.) It must be certified at the Turkish Consulate or in accordance with the provisions of the Convention on the Abolition of the Obligation of Approval of Foreign Official Documents and submitted to the Directorate with a notarized Turkish translation.) e) in the branch opening decision, including branch courts in Turkey, private organizations, and in the eyes of the public institutions and organizations will be represented as a fully qualified person or persons with the specified authority given to them by the power of attorney in original and one copy Turkish translation for regulation on this subject (this power of attorney, It is obligatory to be certified by the notaries in the country where the company is subject to and at the Turkish Consulate in that country or in accordance with the provisions of the Convention on Abolishment of the Obligation of Foreign Official Documents and submitted to the Directorate with a notarized Turkish translation.) f) Signature declarations of the person or persons who will represent the branch under the title of the branch under the title of the Trade Registry Directorate (1 original - 1 photocopy).

g) If the branch representative is foreign national, the authorities; Passport translation (1 original - 1 photocopy)

ğ) Notarized copy of the foreign representative's Residence Permit Certificate (1 copy) and the address (1 original) and the potential tax display document (1 original)

h) This permission or appropriate opinion letter for branches whose opening is subject to the permission or approval of the Ministry or other official institutions

ı) Potential Tax Office Imaging Document of the company (1 original - 1 photocopy)

i) New Registration Request Petition

j) Legal Person Registration Statement

k) 2 photos of the authorities

NOTES

1) The title of Turkey Gulf Branch "Central Gulf + title + countries where the center is located Central Branch" should be selected. (TCC Article 48/3)

Example: PHOENIX OIL LONDON LTD HEAD OFFICE ENGLAND KÖRFEZ CENTER BRANCH

2) If the commercial operation of multiple branches in Turkey Turkey is located outside the center, to be opened after the registration of the first branch to branch will be registered as branches of local commercial enterprises (TCC Article 40/4)

3) Centers for settlement of commercial enterprises located outside the branches in Turkey Turkey is assigned a full-fledged trade representatives in Turkey (TCC Article 40/4)
